DIC Asset AG sets the Offer and Subscription Price for the New Shares at Euro 22

DIC Asset AG (German Securities Code Number (WKN) 509840 / ISIN DE0005098404) has today set, together with Deutsche Bank Aktiengesellschaft and Morgan Stanley Bank AG, the offer and subscription price for the new shares from its capital increase at Euro 22. The price applies to the 8,635,022 offered shares (in respect of which the Company's principal shareholders have waived their subscription rights), as well as for the 925,000 shares made available by existing shareholders to the underwriting syndicate for a potential over-allotment (the 'Greenshoe Shares”). The offering was more than ten times oversubscribed, and all offered shares (including the Greenshoe Shares) were fully allotted. The start of trading of the new shares is scheduled for May 8, 2006 in the Official Market segment (Prime Standard) of the Frankfurt Stock Exchange.
The price of Euro 22 also applies to the subscription of 1,534,978 new shares. Existing shareholders who have not waived their subscription rights will be able to subscribe at this price at a ratio of 1:1. The subscription period will commence on May 8, 2006 (from which date subscription rights will be traded on the exchange) and will end on May 22, 2006. Assuming full placement of the new shares at an offer and subscription price of Euro 22 per new share, the expected net issue proceeds of DIC Asset AG will amount to around Euro 214 million.
